Tata Trusts vs Tata Sons Board Why Tata Group Stocks Are Under Pressure Today
Share

Summary:

Tata Group stocks fell on September 18 after Tata Trusts opposed the potential listing of Tata Sons. Tata Chemicals, Tata Investment Corporation, Tata Motors Passenger Vehicles and Tata Power declined as investors reassessed potential value unlocking and regulatory implications.

Shares of Tata Group companies declined on September 18, reversing part of the sharp gains seen in the previous session, after Tata Trusts opposed the potential public listing of Tata Sons. Tata Chemicals was among the biggest decliners, falling as much as 7.6%, while Tata Investment Corporation dropped 3.1%. Tata Motors Passenger Vehicles declined 2%, while Tata Power fell 1.6%.

The selling came a day after Tata Sons reappointed N Chandrasekaran as chairman and said it would consider a public listing. The development had triggered strong buying across Tata Group stocks on September 17.

Why Tata Group Stocks Fell

The immediate trigger was Tata Trusts’ September 17 statement clarifying that it had not agreed to take Tata Sons public. The Trusts reiterated its long-standing position that the Tata Group’s more-than-century-old structure should be preserved.

Tata Trusts said the Tata Sons board had discussed the Reserve Bank of India’s (RBI) communication and agreed that all available options, rather than listing alone, should be examined. The Trusts said the findings and recommendations should be presented to the board on an immediate basis.

The statement followed the RBI’s rejection of Tata Sons’ application to surrender its registration as a core investment company (CIC), renewing speculation around the holding company’s regulatory obligations.

Noel Tata Questions Listing Decision

Noel Tata, chairman of Tata Trusts, also raised concerns over the listing decision. He said the matter required papers, explanations, advice and time before the board reached a view.

He pointed out that the RBI order does not specifically call for a listing. According to Noel Tata, the order “does not mention listing”, prescribes “no particular step” and does not state that Tata Sons is in breach. He also said the board had not yet formed a view on the legal implications of the RBI communication, including what Tata Sons is required to do and by when.

Why Tata Chemicals Had More to Gain From a Listing

Tata Chemicals has a 2.53% stake in Tata Sons, making the company particularly sensitive to developments surrounding the holding company. Tata Steel and Tata Motors Passenger Vehicles each hold 3.06%, while Tata Power holds 1.65%.

Indian Hotels, Tata Consumer and Tata Investment Corporation own 1.11%, 0.4% and 0.25%, respectively, in Tata Sons.

Tata Chemicals’ stake is estimated to be worth ₹10,000 crore-₹15,000 crore, which is close to its current market capitalisation. A Tata Sons listing could therefore potentially unlock significant value for Tata Chemicals and other group companies holding stakes in the unlisted parent.

Why Stocks Had Surged After the Event

Tata Group shares had rallied on September 17 after Tata Sons reappointed N Chandrasekaran as chairman and decided to consider a public listing. Investors viewed a potential listing as a possible avenue for value unlocking across listed Tata companies.

The development also came amid challenges for the group, including losses at Air India and a sharp downturn at Jaguar Land Rover. Chandrasekaran’s reappointment was seen as providing continuity as the group navigates these issues.

RBI Rules Behind the Tata Sons Listing Issue

Tata Sons is classified as a core investment company and is subject to RBI regulations applicable to non-bank lenders. These rules require companies with assets exceeding ₹1 lakh crore, or those with direct or indirect access to public funds, to be listed.

The renewed disagreement between Tata Trusts and the Tata Sons board has therefore brought the regulatory issue and potential value unlocking for listed Tata companies back into focus.
