SEBI Clears Coal India's Mahanadi Coalfields IPO
Share

Summary:

SEBI has cleared Mahanadi Coalfields' proposed IPO, allowing Coal India to proceed with plans to sell up to 10% of its subsidiary through an offer for sale. The listing could value the coal producer at approximately $10 billion.

The Securities and Exchange Board of India (SEBI) has approved the proposed initial public offering of Mahanadi Coalfields Limited, a subsidiary of Coal India (NSE: COALINDIA). The approval, reported on November 5, 2026, clears an important regulatory step for what could become one of India's largest public offerings of the year.

SEBI Approves Mahanadi Coalfields IPO

SEBI issued its final observations on the company's draft offer documents on November 4, allowing Mahanadi Coalfields to proceed with the next stages of its proposed public issue.

The company had filed its draft red herring prospectus with the regulator in September 2026.

According to the offer documents, Coal India plans to sell up to 66.18 crore shares, representing approximately 10% of Mahanadi Coalfields' equity.

The proposed offering is structured as an offer for sale by the parent company.

This means the proceeds from shares sold under the offer will go to Coal India rather than being raised directly by Mahanadi Coalfields for business expansion.

The final issue price, subscription dates and other details have not yet been announced.

SEBI's clearance allows the IPO process to move ahead but does not guarantee the timing or eventual valuation of the listing.

How Large Is Mahanadi Coalfields?

Mahanadi Coalfields is among India's largest coal-producing companies and operates primarily in Odisha.

It is an important subsidiary of Coal India, which remains the country's dominant domestic coal producer.

During FY26, Mahanadi Coalfields accounted for approximately 21% of India's total domestic coal production.

Its contribution represented around 28.4% of Coal India's overall production during the financial year.

Coal India itself accounted for approximately 74% of India's domestic coal production in FY26.

These figures highlight the scale of Mahanadi Coalfields within the country's energy supply chain.

Coal remains a major fuel for India's electricity generation system, making domestic production important for power availability and energy security.

The subsidiary's operational scale is one reason its proposed listing has attracted attention in the primary market.

IPO Size and Possible Valuation

The proposed IPO could raise as much as $1 bn, based on preliminary transaction estimates reported ahead of the regulatory approval.

These estimates imply a potential valuation of approximately $10 bn for Mahanadi Coalfields.

However, these amounts are not final.

The actual issue size and valuation will depend on the offer price and the number of shares ultimately sold.

Coal India's broader plans also include the proposed listing of South Eastern Coalfields Limited, another major mining subsidiary.

The listing programme could provide separate market valuations for significant businesses currently operating within the Coal India group.

It could also allow investors to assess the operating performance and financial position of individual subsidiaries more directly.

Why Is Coal India Share Price in Focus?

Coal India shares traded near ₹399.65 on November 5, down approximately 2.05% in the available market quote.

The movement occurred amid broader market activity and cannot be attributed solely to the IPO approval.

For Coal India, selling a stake in Mahanadi Coalfields could generate cash proceeds while allowing it to retain majority ownership.

However, the subsidiary's future earnings would also be shared with its new public shareholders after the listing.

For the proposed IPO, key factors include coal production volumes, profitability, operating costs, mine reserves and future capital expenditure requirements.

Longer-term developments in electricity demand, renewable energy adoption and environmental regulations will also influence the coal industry's outlook.

SEBI's approval represents an important step towards bringing one of India's largest coal producers to the stock market. The final pricing and offer structure will determine the financial implications for Coal India and the subsidiary.
