Summary:
Fairfax has been selected to acquire a 60.72% stake in IDBI Bank for ₹52,878 crore. The group also proposes bringing Go Digit and IIFL Capital interests under the bank, subject to definitive agreements, regulatory approvals and completion.
Who is acquiring IDBI Bank, and what is the value of the deal?
Canada’s Fairfax Financial Holdings plans to combine its insurance and capital market businesses in India with IDBI Bank Ltd to form a diversified financial services company. The announcement comes after the Union Cabinet’s approval on October 14, 2026, for Fairfax to buy a 60.72% stake in IDBI Bank for ₹52,878 crore. The proposed merger would combine banking, insurance, investment banking and wealth management under one corporate umbrella.
Fairfax-IDBI Bank Merger: What’s the Plan?
After the acquisition is completed, Fairfax will transfer its stakes in Go Digit Insurance and IIFL Capital Services Ltd to IDBI Bank.
Under the proposed arrangement, IDBI Bank would be the holding company for these financial businesses, and the group would be able to provide multiple financial services through its subsidiaries.
Fairfax has an interest in Go Digit's insurance business, and Fairfax India has a 30.2% stake in IIFL Capital. The group is also in talks to increase its stake in IIFL Capital to 51%.
The restructuring is only a proposal at this time. There are no definitive binding agreements, and each transaction could move forward independently, subject to regulatory approvals.

Post the completion, the government and Life Insurance Corporation of India would own about 34% stake jointly.
The acquisition price is at a discount of about 10.4% to the closing price of IDBI Bank’s shares at ₹90.40 on October 14.
IDBI Bank Privatisation: What Will Change Post Takeover?
The IDBI Bank change of ownership is part of India’s broader strategic disinvestment program to reduce the government’s stake in select businesses.
After the deal, Fairfax would have majority control of the bank. However, the proposed integration of insurance and capital market businesses would need separate approvals from the Reserve Bank of India (RBI), Securities and Exchange Board of India (SEBI) and the Insurance Regulatory and Development Authority of India (IRDAI).
Fairfax also owns a 40% stake in CSB Bank Ltd. It has to decide within two years under the applicable regulatory requirements whether to combine CSB Bank with IDBI Bank or exit one of its banking investments.
IDBI Bank Share Price & Financial Services View
Shares of IDBI Bank slumped nearly 8% on October 15 to close at ₹83.25 a share on the BSE as the acquisition price of ₹81 a share was lower than the current market price.
The proposed financial group would combine the deposit and lending operations of IDBI Bank, insurance businesses of Digit and wealth management and investment banking services of IIFL Capital.
For FY26, IIFL Capital's consolidated gross income was ₹2,603 crore against ₹2,567 crore in FY25. But net profit dipped to ₹561 crore from ₹712 crore.
Go Digit General Insurance posted gross written premiums of ₹11,294 crore for FY26 as compared to ₹10,282 crore in the last financial year.
Introduction of these businesses would help diversify the sources of income of the proposed group, but integration costs, regulatory requirements and operating performance are important considerations.
End of Story
The Fairfax-IDBI Bank deal is an important milestone in the banking privatisation program in India. The proposed merger of insurance and capital market business can help in widening the financial services bouquet of IDBI Bank. But the speed of the restructuring will depend on the final transaction agreements, regulatory approvals and the timing of completion.
