TVS Motor Company (NSE: TVSMOTOR | BSE: 532343) has announced demerger of its consumer finance and allied businesses into a separate entity. The Oct-28, 2026 announcement was backed by strong Q2FY27 results with standalone net profit up 52% YoY to ₹1,377 crore and revenue up 44% to ₹17,103 crore.

TVS Motor Announces Demerger of Consumer Financing Business

The company’s board has approved composite scheme of arrangement for transfer of its consumer finance business to Harita ARC Limited to form a separate holding company for financial services.

Under the proposed restructuring, TVS Motor will buy out the entire shareholding in Harita ARC from its non banking financial subsidiary TVS Credit Services.

TVS Motor shareholders on the record date will be allotted shares of the merged company in the ratio of 1:1, i.e. a share of Harita ARC for every share of TVS Motor held.

As part of the restructuring, TVS Motor Services, a wholly owned subsidiary, will also be merged into the parent company.

The company expects the approval process including shareholder and National Company Law Tribunal (NCLT) approvals to take 8-10 months or so.

The split is intended to establish separate operating structures for the automotive and financial services businesses and provide greater flexibility in deploying capital.

The stock touched an intraday high of ₹4,258 as the market cheered the quarterly results and declaration of restructuring.

The proposed demerger provides an opportunity to value the auto and consumer finance businesses of TVS Motor separately. But the eventual impact will be dependent on regulatory approvals, final structure and financial performance of both entities.

Conclusion

TVS Motor’s proposed restructuring will mean a significant change in its corporate structure. At the same time, its Q2FY27 results show strong growth on the vehicle volumes and profitability fronts.

Key developments to watch out for are shareholder approvals, demerger record date, proposed listing of finance entity and sustainability of earnings growth.

The deal is subject to regulatory approvals and the full financial impact will be clearer as the restructuring unfolds.
