Gaja Capital prepares to become India's first listed standalone private equity firm

Gaja Capital is set to become the first standalone Indian private equity firm to list on the stock exchanges, with its market debut expected later this month. The listing comes at a time when limited partners (LPs), which invest in private equity and venture capital funds, are demanding greater transparency and institutionalization from fund managers.

LPs Demand Greater Institutionalization

Gopal Jain, Co-founder and Managing Director of Gaja Capital, said LPs are increasingly scrutinizing how general partners (GPs), who manage investment funds, are operated. Key areas under focus include compensation, succession planning, governance, oversight and decision-making.

Jain said India is still in the early stages of this trend, but there is clearly rising demand for greater institutionalization among fund managers. He added that going public represents the next step in this process, following a model already established globally.

According to Jain, the industry needs more data on how GPs are compensated, their succession strategies, governance frameworks and oversight mechanisms, as well as clarity on key decision-makers. He believes institutionalization is becoming increasingly important and listed alternative asset managers could benefit from wider investor access as the model becomes more mainstream.

Gaja Capital IPO Details

Gaja Alternative Asset Management, which operates commercially as Gaja Capital, has fixed its IPO price band at ₹152-₹160 per share, with a face value of ₹5. The IPO will open for subscription from August 19 to August 21, while allocation to anchor investors is scheduled for August 18.

The IPO comprises a fresh issue of ₹450 crore and an offer-for-sale (OFS) of up to ₹100 crore by existing shareholders, including promoters. The company had earlier proposed a fresh issue of ₹549.2 crore and an OFS of ₹107 crore. Its total IPO size stood at ₹656.2 crore in the updated draft red herring prospectus filed in December 2025.

IPO Valuation and Use of Proceeds

At the upper end of the price band, Gaja could command a post-listing market capitalization of ₹2,256.16 crore. The company plans to use ₹372 crore from the fresh issue towards sponsor commitments and repayment of a bridge loan. The remaining proceeds will be used for general corporate purposes.

Jain said the company approached the IPO pricing with an open and transparent mindset and maintained a margin of safety. He noted that there are no direct listed peers for Gaja in India, making asset management companies (AMCs) the closest domestic comparison.

Gaja Capital is also set to mark the 8th edition of its annual Gaja Capital Business Book Prize in 2026. The initiative, run as part of the firm's broader engagement with business and entrepreneurship, recognises notable works of narrative non-fiction. The 2026 edition is currently moving towards its longlist and shortlist stages, with Gaja Capital indicating that the longlist is expected to be announced soon.

The 2025 edition, which was the 7th edition, was won by economist Karthik Muralidharan for Accelerating India's Development: A State-Led Roadmap for Effective Governance. The 2025 shortlist also included Engineering a Nation: The Life and Career of M. Visvesvaraya, The Rise of Asian Paints: Champaklal Choksey, a Doyen of the Indian Paints Industry, The Start-Up Code: Taking Your Company from Seed to Scale and The Tanishq Story: Inside India’s No. 1 Jewellery Brand.

The book prize adds another dimension to Gaja Capital's institutional profile as the firm prepares to enter the public markets. Its focus on business, entrepreneurship, governance and India's economic development is aligned with the firm's positioning as an investor in India's mid-market businesses. The 2026 prize will therefore be another closely watched initiative as Gaja Capital transitions from a privately held alternative asset manager to a listed entity.
