Persistent Systems–Nagarro Deal How the Acquisition Could Reshape India’s IT Growth Strategy

Persistent Systems’ acquisition of Nagarro has emerged as one of the major strategic moves in the Indian IT services sector, aimed at creating a larger digital engineering and AI-focused technology platform. Persistent, through its subsidiary Galaxy Germany Holding SE, launched a voluntary public takeover offer for Nagarro, a Germany-based digital engineering company. 

The offer was made at EUR 81 per Nagarro share in cash, representing a premium of around 140% over Nagarro’s closing price on June 25, 2026, and approximately 94% over its three-month volume-weighted average price. Nagarro’s management and supervisory board supported the transaction and recommended acceptance of the offer. 

Persistent had already secured an approximately 21% stake in Nagarro through an agreement with its largest shareholder. Following the voluntary offer process, Persistent’s subsidiary acquired an additional 61.15% stake, taking its total ownership in Nagarro to around 83.25%. 

Strategic rationale behind the Nagarro acquisition

The acquisition is aimed at combining Persistent’s strengths in AI-led engineering, enterprise modernisation and North American presence with Nagarro’s capabilities in digital engineering, ERP, customer experience and European markets. The combined entity is expected to become an AI-led digital engineering platform with a revenue run-rate of around USD 2.9 billion and more than 46,000 employees across 40+ countries. 

Nagarro contributes approximately EUR 1 billion in CY2025 revenue and has a strong presence in Europe, including relationships with major automotive and enterprise clients. Persistent’s existing operations include more than 27,500 employees across 21 countries, while the company reported revenue of around USD 1.7 billion in the previous fiscal year with 17.4% year-on-year growth. 

The combined business will have a wider geographic mix. Persistent’s European revenue contribution is expected to increase from 9% to 22% after the combination, while North America would contribute around 62% of revenue. The Rest of World contribution is expected to increase from 10% to 16%. 

AI, digital engineering and enterprise transformation opportunity

The acquisition comes at a time when global enterprises are increasing spending on artificial intelligence, cloud transformation and digital platforms. The combined company will have capabilities across AI engineering, enterprise applications, ERP, customer experience and industry-specific technology solutions.

The enlarged business is expected to address a larger opportunity with a total addressable market of more than USD 1,400 billion. It will have a significant presence across banking, financial services and insurance, healthcare, technology, media and telecommunications, industrial and consumer sectors. 

The combined platform will also bring together more than 350 marquee client relationships, including major European automotive companies, global banks and healthcare organisations. 

Why Persistent stock reaction depends on execution

The acquisition provides Persistent with scale and broader capabilities, but investor focus is likely to remain on integration execution. Large acquisitions involve challenges related to maintaining growth momentum, managing costs, protecting margins and retaining customers.

Persistent has maintained strong operating momentum, reporting 25 consecutive quarters of sequential revenue growth. However, the market will closely monitor whether Nagarro’s integration supports revenue expansion and profitability improvements over the coming years.

Potential impact on Nagarro shareholders

Persistent has indicated plans to pursue delisting of Nagarro shares from the Frankfurt Stock Exchange after completion of the transaction, subject to legal feasibility. A delisting could reduce liquidity for Nagarro shareholders who continue to hold shares. 

Overall, the Persistent–Nagarro transaction represents a move towards building a larger global digital engineering company. The long-term impact will depend on how effectively both businesses combine their capabilities and convert scale into sustainable growth.
