The company designs, assembles, and manufactures electrical and power electronics equipment for Indian Railways, including propulsion systems for electric locomotives and switchgear panels for coaches and EMUs.

Introduction

MV Electrosystems IPO price band, lot size & minimum investment

Price band and lot size have not been declared. Both will be confirmed in the Red Herring Prospectus before the subscription window opens on July 30. Minimum retail investment will depend on the final price per share and lot size.

One thing worth noting upfront: retail investors get a maximum of 10% of this issue. QIBs get 75%. That is a heavily institutional structure, which means retail allotment probability will be limited regardless of subscription levels. Apply through UPI or ASBA; verify the confirmed lot size before bidding.

MV Electrosystems IPO issue size and offer structure

The entire ₹290 crore is a fresh issue. No existing shareholders are selling. Pre-issue shares outstanding are 2,04,59,200. Post-issue share count will increase once the price band is confirmed and the number of shares to be issued is finalised. Promoters are Mohit Vohra, Amit Dhawan, Sumit Dhawan, Rahul Dhawan, Sonali Dhawan, and Ramendra Pratap Singh, holding 76.92% pre-IPO.

Objectives of the IPO

₹180 crore going toward working capital is significant. For a company with FY26 revenue of ₹49.79 crore, raising ₹290 crore in equity, which is more than 5x its annual revenue, largely for working capital is something investors should understand before applying. The working capital need likely reflects the long payment cycles typical in government contracts with Indian Railways.

About MV Electrosystems Limited

Incorporated in 2009, MV Electrosystems is based in Faridabad, Haryana. The company designs, develops, assembles, and manufactures electrical and power electronics equipment for railway rolling stock. Core products include IGBT-based 3-phase drive propulsion equipment for electric locomotives, switchgear panels for railway coaches and EMUs, and cable protection and management products.

The company operates within India's rail infrastructure push: broad-gauge electrification mandates, Make in India procurement requirements, and expanding high-speed corridors. It has an in-house R&D centre at its Mathura Road facility in Faridabad and had 206 employees as of May 31, 2026. Its primary customer is Indian Railways, giving it a concentrated but large government-backed revenue base.

Revenue dropped 23% in FY26. The company swung from a small profit of ₹1.40 crore in FY25 to a loss of ₹12.63 crore in FY26. EBITDA turned negative. All return ratios are negative as of FY26. The net worth jump from ₹17.91 crore to ₹62.57 crore suggests a pre-IPO capital infusion, not earnings-driven growth.

This is the IPO's biggest challenge. The company is listing financials that are significantly weaker than the prior year.

Key strengths of MV Electrosystems

  • Specialised in railway power electronics, a niche with genuine technical barriers and limited domestic competition
  • Long-standing relationship with Indian Railways, which has a large and growing electrification and rolling stock programme
  • In-house R&D capability for complex, safety-critical railway systems
  • Make in India tailwind: Indian Railways has been increasing domestic procurement mandates, which favours domestic manufacturers like MV Electrosystems
  • ₹21 crore allocated specifically to R&D for new power electronic equipment signals intent to expand the product range

Risks investors should consider

  • Revenue fell 23%, and the company posted a loss in FY26. This is the financial year the IPO is being built on
  • Negative EBITDA margin of -19.97% and negative ROE of -31.55% as of FY26 are not typical for a company seeking a mainboard listing at this size
  • ₹180 crore of the ₹290 crore raise goes toward working capital, and for a company with under ₹50 crore in annual revenue, this implies very long receivable cycles with government customers
  • Revenue is heavily concentrated in Indian Railways. Any slowdown in railway capex, payment delays, or change in procurement policy directly affects the business
  • Retail quota is only 10%. Most of this issue is going to institutional investors, which limits retail allotment significantly
  • Price band is undeclared, making it impossible to assess valuation at this stage. Check the RHP before applying

Should you track the MV Electrosystems IPO?

The business sits in a genuinely interesting space. Railway electrification and rolling stock modernisation are long-term government priorities, and domestic suppliers of complex power electronics for Indian Railways don't face the same competition dynamics as commodity manufacturers. The niche is real.

The financial picture going into this IPO is the problem. A company posting negative EBITDA and a loss in its most recent full financial year, raising more than 5x its annual revenue primarily for working capital, is asking investors to look past current numbers and bet on a recovery. That is not impossible because long government payment cycles can genuinely distort near-term financials, but it requires more due diligence than most IPOs.

Until the price band is declared, no valuation comparison is possible. Once it is out, compare the implied market cap to revenue and to listed peers in the railway equipment space before making a decision. Read the RHP carefully. The working capital section in particular will tell you a lot about why the numbers look the way they do.

Latest MV Electrosystems IPO updates

Conclusion

MV Electrosystems operates in power electronics for Indian Railways, an important niche, and the long-term demand picture from railway electrification is credible. The FY26 financials are a serious concern that cannot be glossed over: revenue down, losses up, and a capital raise well above the company's current revenue base. Price band will be the next key data point. Hold off on any decision until the RHP is out and the valuation is clear.
